Work Orchestra Terms of Service.
Version 1, published April 27, 2026. Every user accepts these terms when signing in.
These Terms of Service apply to the closed beta of Work Orchestra. This is a placeholder pending review by counsel; replace through the admin before general release.
1. Acceptance
By installing, signing in to, or using Work Orchestra (the “App” or “Service”), provided by Accredant Capital LLC (“Accredant”, “we”, “us”), you agree to these Terms of Service (“Terms”). If you do not agree, do not install or use the App. You must be at least 18 years old and have legal capacity to enter into this agreement.
2. License grant
Subject to your continuing compliance with these Terms, Accredant grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the App on devices you own or control, solely for your internal personal or business use. The App is licensed, not sold. Accredant retains all right, title, and interest in and to the App, including all intellectual property rights.
3. License restrictions
You will not, and will not permit any third party to: (a) reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except to the extent that applicable law expressly prohibits such a restriction; (b) modify, adapt, translate, or create derivative works of the App; (c) rent, lease, sell, sublicense, distribute, or otherwise transfer the App; (d) remove, alter, or obscure any proprietary notices in the App; (e) circumvent any technical limitations or access controls; or (f) use the App to build a competing product.
4. Beta status
The App is currently in closed beta. Access is granted on an invitation basis. Features may change, break, or be removed without notice. We may suspend or terminate beta access at any time, with or without cause.
5. Updates
The App may automatically download and install updates, including bug fixes, security patches, and feature changes. By using the App, you consent to receiving such updates. We are not obligated to provide any updates or continued support.
6. Your account and security
You are responsible for maintaining the confidentiality of your sign-in email and any access tokens issued to your devices, and for all activity that occurs under your account. Notify us promptly at info@accredant.com if you believe your account has been compromised.
7. Third-party services and credentials
The App is designed to interoperate with third-party services you choose to connect, including AI providers (such as Anthropic), cloud storage (such as Dropbox or OneDrive), email and calendar (such as Google), and other tools. Your use of those services is governed by their own terms and privacy policies. You are solely responsible for the credentials, API keys, and permissions you provide to the App and for the actions taken in those services on your behalf. Accredant is not responsible for any third-party service, its availability, fees, or for any data routed through it.
8. AI output disclaimer
The App can route prompts to AI models and act on their output. AI output may be inaccurate, incomplete, biased, or otherwise unsuitable for your purpose. You are solely responsible for reviewing AI output before relying on it and for the actions the App performs on your behalf. The App is not a substitute for professional advice (legal, medical, financial, or otherwise). Do not use the App to make decisions where errors could cause material harm without independent verification.
9. Your files and content
The App is designed so that the files you choose to work on remain on your local device unless you explicitly route them through a third-party service you have authorized. You retain all rights to your files and the content you create. You are solely responsible for backing up your files; the App does not provide backup. We strongly recommend keeping recent backups of any files used with the App.
10. Acceptable use
You will not use the App to (a) violate any law or regulation; (b) infringe any third-party right, including intellectual property, privacy, or publicity rights; (c) transmit malware, exploit, or attempt to gain unauthorized access to any system; (d) generate content that is defamatory, harassing, or sexually exploitative of minors; (e) interfere with the operation, security, or integrity of the App; or (f) use the App in any way that violates the terms of any third-party service it interacts with.
11. Account data and privacy
To operate the App, we store account-related data on Accredant servers, including your sign-in email, sign-in events, your acceptance of these Terms, and basic device identifiers. We may collect anonymous diagnostic data about crashes and errors to improve the App. We do not store the content of your local files on our servers. Questions about data handling can be sent to info@accredant.com.
12. Feedback
If you submit feedback, suggestions, or ideas about the App, you grant Accredant a perpetual, irrevocable, royalty-free, worldwide license to use that feedback for any purpose, without obligation to you.
13. Disclaimer of warranties
THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT THE APP WILL BE UNINTERRUPTED OR ERROR-FREE. THIS IS PARTICULARLY TRUE DURING THE BETA PERIOD. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACCREDANT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, FILES, PROFITS, OR REVENUE, ARISING FROM OR RELATED TO YOUR USE OF THE APP, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ACCREDANT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL ACCREDANT'S AGGREGATE LIABILITY EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
15. Indemnification
You agree to defend, indemnify, and hold harmless Accredant and its officers, directors, employees, and agents from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of or related to your use of the App, your files or content, your use of any third-party service through the App, or your violation of these Terms or any law.
16. Termination
You may stop using the App and uninstall it at any time. We may suspend or terminate your access at any time, with or without notice, particularly for any breach of these Terms or for any reason during the beta period. Sections that by their nature should survive termination — including license restrictions, disclaimers, limitation of liability, indemnification, and governing law — will survive.
17. Changes to these Terms
We may update these Terms by publishing a new version. The next time you sign in after a new version is published, we will ask you to re-accept the updated Terms. If you do not accept, your access to the App will end.
18. Governing law and venue
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the App will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
19. Export and sanctions
You represent that you are not located in, and will not use the App from, any jurisdiction subject to U.S. trade embargo, and that you are not on any U.S. government list of restricted parties.
20. Entire agreement and severability
These Terms are the entire agreement between you and Accredant regarding the App. If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver.
